Terms of Service

HOLD is operated by Hold Ventures Ltd, registered in England and Wales.
By creating an account or using HOLD, the user (“User”, “you”, ”your”) agree to these Terms of Service. Please read them carefully.
1. Nature of HOLD
- HOLD provides AI-powered supportive conversations designed to help you feel steadier, understood, and less overwhelmed.
- HOLD uses an artificial intelligence system (Claude by Anthropic) to generate responses.
- HOLD may remember information you choose to share so you do not have to re-explain your world each time you use the service.
- HOLD is not a healthcare provider and does not provide therapy, counselling, medical care, psychiatric care, clinical care, a diagnostic tool, or a crisis service.
- Use of HOLD does not create a therapist–client, doctor–patient, or any professional healthcare relationship.
2. Crisis and Emergency Situations
- HOLD is not a crisis service and cannot provide emergency intervention, real-time monitoring, or human support.
- If you are in immediate danger, please contact emergency services directly.
- HOLD may provide crisis resource information during conversations, but this does not constitute crisis care, clinical assessment, or emergency response. HOLD cannot guarantee the accuracy or availability of third-party crisis services.
3. Limitations of Support
- HOLD does not undertake a duty of care equivalent to that of a healthcare professional. HOLD is not a monitored service and cannot guarantee human intervention at any time.
- HOLD’s AI-generated responses are not a substitute for professional medical, psychological, or psychiatric advice, diagnosis, or treatment. You should not disregard or delay seeking professional advice because of anything communicated through HOLD.
- HOLD cannot make decisions about your health, safety, or wellbeing. Those decisions remain yours, and HOLD encourage you to seek appropriate support when needed.
4. Eligibility
- You must be 18 or older to use HOLD.
- By creating an account, you confirm that you are at least 18 years old. HOLD does not knowingly collect personal data from anyone under the age of 18. If HOLD become aware that a user is under 18, HOLD will terminate their account and delete their data.
5. How to Use HOLD Safely
- HOLD is a support tool, not a replacement for professional care. You should not rely on HOLD for medical, legal, financial or professional advice.
- If you are currently receiving treatment from a healthcare professional, HOLD is intended to complement, and not replace that treatment.
6. AI and Limitations
- HOLD is powered by artificial intelligence (AI). AI responses may be inaccurate, incomplete, or inappropriate. HOLD has no human judgment and cannot assess clinical risk.
- No outcomes, emotional improvements, or therapeutic benefits are guaranteed.
- HOLD’s responses are generated in real time and may vary. The same input may produce different responses at different times.
7. Acceptable Use
- You agree to access HOLD in a lawful, responsible and ethical manner: You shall not:
- Use HOLD for any unlawful, fraudulent, or harmful purpose that violates applicable laws, and public policy;
- Upload, or share any abusive, defamatory, obscene, harassing, illegal or otherwise objectionable content that promotes violence, self-harm, or illegal activity;
- Use the platform in a manner that could harass, abuse, or threaten, or cause emotional injury to any person;
- Attempt to manipulate or bypass the AI’s safety features, gain unauthorised access to HOLD, its systems and data, or interfere with, or compromise with the security of HOLD;
- Use HOLD for any commercial purpose without prior written permission from the Company;
- Misrepresent yourself as a healthcare professional using HOLD as a clinical tool
- Use HOLD on behalf of another person without their knowledge and consent;
- Share another person’s personal or health information with HOLD;
- Use HOLD as a substitute for emergency services, crisis intervention, or professional mental health treatment;
- Deliberately test, probe, or attempt to cause HOLD to generate harmful, dangerous, or clinically inappropriate responses;
- Create multiple accounts to circumvent any restrictions or a previous account termination;
- Use automated tools, scripts, or bots to interact with HOLD; and
- Engage in any activity that may expose the HOLD or the Company to regulatory, legal, or reputational risk.
- HOLD may, at its sole discretion, and without prior notice:
- suspend or terminate your account,
- remove, or restrict access to any content; and
- take any other appropriate action if it reasonably believes you have breached these terms.
8. Your Content
- You retain ownership of the content you share in conversations with HOLD.
- By using the service, you grant HOLD a limited licence to process your content solely for the purpose of providing the service (generating responses, maintaining conversation continuity, and pattern recognition). This licence ends when your account is deleted and your data is removed.
- HOLD does not use your content for advertising, marketing, or AI model training.
9. Data and Privacy
- Your use of HOLD is subject to the Company’s Privacy Policy, available within the app and at holdwellbeing.ai/privacy. The Privacy Policy explains what data we collect, how we use it, how we protect it, your rights under UK GDPR, and how to delete your data.
- By using HOLD, you agree to the data practices described in the Privacy Policy. Where these Terms and the Privacy Policy conflict on data-related matters, the Privacy Policy takes precedence.
10. Intellectual Property
- HOLD and its associated technology, design, and branding are the intellectual property of Hold Ventures Ltd.
- You shall not copy, distribute, create derivative works, or use HOLD for commercial purposes without prior written approval of the Company.
11. Payments
HOLD is currently free to use. If we introduce paid features or subscription tiers in the future, pricing and terms will be communicated to you in advance. You will not be charged without your explicit agreement.
12. Service Availability
HOLD is provided on an “as is” and “as available” basis. We do not guarantee uninterrupted or error-free service. We may suspend or modify the service at any time for maintenance, updates, or other operational reasons.
13. Third-Party Services
HOLD may reference or link to third-party services (such as crisis lines or mental health resources). We are not responsible for the content, availability, accuracy, privacy or practices of third-party services.
14. Limitation of Liability
- To the maximum extent permitted by law, the Company, its affiliates, and directors shall not be liable for:
- Any mental or emotional harm resulting from the use of HOLD;
- Any indirect, incidental, special, punitive or consequential loss or damage suffered by you arising out of or in connection with the use of HOLD;
- Any inaccurate, incomplete, inappropriate, or unsuitable responses generated by HOLD;
- Any decisions, actions, or omissions undertaken by you or any third party based on HOLD’s content or use; and
- Loss or breach of your personal data and any special category personal data on HOLD.
- The Company’s total aggregate liability arising out these Terms or the use of HOLD, whether in contract, tort, negligence, or otherwise shall not exceed the total amount paid by you to the Company in the 12 (twelve) months preceding the event giving rise to the claim.
- Nothing in these Terms excludes or limits our liability for:
- Death or personal injury caused by our negligence;
- Fraud or fraudulent misrepresentation; and
- Any liability that cannot be excluded or limited under applicable UK law.
- You agree that any claim arising out of or in connection with the use of HOLD must be brought within 1 (one) month from the date of cause of action first arose, failing which such claim shall be waived off, except as required by law.
- Subject to the above, to the maximum extent permitted by law:
- HOLD is provided “as is” without warranties of any kind, whether express or implied;
- We are not liable for decisions you make based on HOLD’s responses;
- We are not liable for AI errors, inaccuracies, or inappropriate responses; and
- We are not liable for technical failures, service interruptions, or data loss.
15. Indemnification
You agree to indemnify and hold harmless Hold Ventures Ltd, its affiliates and directors from and against losses, damages, or costs arising out of or in connection with:
- your deliberate misuse of the service in violation of these Terms or any other policies adopted and incorporated herein by reference,
- misuse, abuse, or unauthorised use of HOLD, including but not limited to content that :
- infringes, misappropriates, or violates intellectual property, privacy or proprietary rights of a third party; or
- is defamatory, obscene, or harmful;
- attempting to bypass safety features;
- using HOLD for unauthorised commercial purposes; or
- any negligent, reckless, or wilful act or omission on your part in connection with HOLD.
- This indemnification does not apply to losses arising from our negligence or breach of these Terms.
16. Account Termination
- You may delete your account at any time through the app or by contacting us at hello@holdwellbeing.ai.
- We may suspend or terminate accounts that violate these Terms, with notice where reasonably practicable. In cases of serious or repeated violations, we may terminate without notice.
- Upon termination, your data will be handled in accordance with the Privacy Policy of the Company.
17. Governing Law and Jurisdiction
- These Terms are governed by the laws of England and Wales. Any disputes arising from or in connection with these Terms will be subject to the exclusive jurisdiction of the courts of England and Wales.
- Nothing in these Terms affects your statutory rights as a consumer under UK law.
18. Communications and Notices
- By using HOLD, you agree to receive:
- Service-related communications (account updates, security alerts, data breach notifications);
- Important changes to these Terms; and
- Notices related to account inactivity or scheduled deletion.
- You may opt out of non-essential communications in your account settings.
- Notices to you will be sent to the email address associated with your account. It is your responsibility to keep this email address up to date.
19. Changes to These Terms
- We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 14 (fourteen) days before they take effect. Continued use of HOLD after changes take effect constitutes acceptance of the updated Terms.
- If you do not agree with the updated Terms, you may delete your account before they take effect.
20. Service Updates and Changes
- HOLD is an actively developed product. This means:
- Features may be updated, added, modified, or removed as the service evolves;
- We may change the design, functionality, or structure of the app;
- New features may be introduced as part of free or paid tiers; and
- We will provide reasonable notice of changes that materially affect your use of the service.
- Where HOLD is in a beta or early access phase, additional conditions apply: bugs, errors, or unexpected behaviour may occur, and your feedback helps us improve. Beta-specific limitations do not override your data protection rights under UK GDPR.

- If you are not satisfied with our response, you have the right to lodge a complaint with the Information Commissioner’s Office (ICO) at ico.org.uk.
22. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
